TERMS AND CONDITIONS

1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your access to and use of services provided by Boutique Social by Leila (“we,” “our,” “us,” or “Boutique Social”) to clients (“you,” “your,” or “Client”). By engaging our services, you agree to be bound by these Terms. Please read them carefully.

2. SERVICES

2.1 Service Description

Boutique Social by Leila provides social media management and marketing services for service-based businesses, including but not limited to:

  • Social media account management
  • Content creation and publishing
  • Social media strategy development
  • Social media audits
  • Custom content plans
  • Engagement monitoring and response
  • Analytics and reporting

2.2 Service Delivery

Service specifics, including scope, deliverables, timelines, and fees, will be outlined in a separate Service Agreement or Statement of Work provided to you. These documents, when executed, form part of these Terms.

3. CLIENT RESPONSIBILITIES

3.1 Cooperation

You agree to:

  • Provide timely responses to our requests for information, content, or approvals
  • Grant necessary access to social media accounts and analytic tools
  • Provide brand guidelines, logos, images, and other materials needed to execute services
  • Review and approve content in a timely manner
  • Participate in scheduled meetings and consultations

3.2 Content Approval

All content created for your social media accounts requires your approval before publishing. We are not responsible for errors in content that you have approved.

3.3 Account Access

You are responsible for maintaining the security of your login credentials. If you provide us with access to your social media accounts, we will take reasonable precautions to secure this information.

4. PAYMENT TERMS

4.1 Fees and Invoicing

  • Fees for our services are specified in your Service Agreement
  • We invoice according to the schedule outlined in your Service Agreement
  • Payment is due within 14 days of invoice date, unless otherwise specified
  • We accept payment via [Your Accepted Payment Methods]

4.2 Late Payments

  • Late payments may be subject to a late fee of 5% per month on the outstanding amount
  • We reserve the right to suspend services until outstanding payments are settled

4.3 Expenses

Additional expenses incurred in delivering services (such as paid advertising, premium tools, or stock photography) will be approved by you in advance and billed separately.

5. TERM AND TERMINATION

5.1 Term

The initial term of our services is specified in your Service Agreement. Unless otherwise stated, services will continue on a month-to-month basis following the initial term.

5.2 Termination by Client

You may terminate services by providing 30 days’ written notice. Any fees for services rendered up to the termination date remain payable.

5.3 Termination by Boutique Social

We may terminate services:

  • With 30 days’ written notice for any reason
  • Immediately if you breach these Terms or your Service Agreement
  • Immediately if payment is more than 30 days overdue

5.4 Effect of Termination

Upon termination:

  • We will return control of your social media accounts
  • You will pay all outstanding fees
  • We will provide a copy of content created during our engagement upon request
  • Our obligations to maintain confidentiality survive termination

6. INTELLECTUAL PROPERTY

6.1 Client Materials

You retain all rights to materials you provide to us, including logos, brand assets, and approved content. You grant us a limited license to use these materials solely for the purpose of providing services to you.

6.2 Boutique Social Materials

We retain rights to:

  • Our proprietary processes, methods, and strategies
  • Content templates and frameworks
  • Materials created for multiple clients

6.3 Created Content

Upon full payment of our fees, you own the specific content we create for your social media accounts. However, we reserve the right to:

  • Display this work in our portfolio
  • Use non-confidential outcomes in case studies
  • Repurpose general concepts and strategies (but not specific content) for other clients

7. CONFIDENTIALITY

7.1 Confidential Information

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement, including business strategies, customer lists, financial information, and unpublished content.
